Notification about conclusion of a Contract of sales and transfer of shares of TLM d.d. Šibenik

Consortium for takeover and management of Tvornica lakih metala d.d., that is made up of Dalekovod d.d. Zagreb, Konstruktor-inženjering d.d. Split, Aluflexpack d.o.o., Zadar, Feal d.o.o. Široki Brijeg and Zagreb-montaža d.o.o. Zagreb, had submitted a Bid for purchase of the company Tvornica lakih metala d.d. Šibenik, and the Bid was accepted by the Decision of the Government of the Republic of Croatia of 19 April 2007. With a view of realizing the accepted Bid, the Consortium has established a company Adrial d.o.o. Šibenik, in which founders are owners of 20.00% shares each, with the purpose of empowering Adrial d.o.o. to act as a contracting party in the Contract of sales and transfer of shares of TLM d.d. Šibenik.
We hereby notify you that the Contract of sales and transfer of shares of TLM d.d. Šibenik was signed on 7 Dec 2007 between HFP as the Seller and Adrial d.o.o. as the Buyer.
After fulfillment of contractual commitments, the Seller is committed to issue a tabular statement to the Buyer which shall entitle the Buyer to acquire a right of entry of ownership over shares of TLM d.d. at the Central Depository Agency. After receipt of a tabular statement of the Seller, we shall notify the esteemed authority without undue delay.
